RUSAL’s position regarding publication of 2010 AGM voting papers on corporate website of MMC Norilsk Nickel

UC RUSAL, (HKSE: 486, Euronext: RUSAL/RUAL), the world’s largest aluminium producer and owner of 25% of the shares of MMC Norilsk Nickel welcomed the proposal to publish the 2010 AGM voting papers on the Norilsk Nickel website.

We welcome this effort to restore transparency and improve corporate governance at Norilsk Nickel. We believe that the highest standards of corporate governance should be followed and that the proposed information disclosure should not be selective. Disclosure must be made simultaneously in relation to all the substantial shareholders of Norilsk Nickel.

RUSAL confirms its agreement with the initiative of publishing the 2010 AGM voting papers, subject to the fulfillment of the following obligations:

1) Norilsk Nickel should publish on its corporate website the voting papers of all the following shareholders of MMC: Interros and all its affiliated companies, including the affiliatesof Mr. Vladimir Potanin, UC RUSAL and its affiliated companies, subsidiary business entities and other companies directly or indirectly controlled by Norilsk Nickel, as well as all its affiliated persons or persons acting jointly;

2) Norilsk Nickel should publish on its corporate website the voting papers of Bank of New York Mellon (BoNY) who voted as the depositary agent of the ADR programme indicating the instructions that BoNY received from each ADR holder affiliated with Vladimir Potanin, Interros, RUSAL, subsidiary business entities and other companies directly or indirectly controlled by Norilsk Nickel.

Meanwhile, we wish to underline that adherence to the above commitments does not signify that RUSAL renounces its previously announced request to Norilsk Nickel to provide the copies of the 2010 AGM voting papers.
